Commercial Counsel - Remote Legal Role at Alpaca

About the Role

We are seeking a Commercial Counsel remote to join our dynamic team at Alpaca. As a Commercial Counsel remote, you will play a pivotal role in supporting our sales, technology, product, partnerships, and enterprise teams. This position offers an exciting opportunity to work with a globally distributed team and contribute to Alpaca's mission of making financial services accessible to everyone.

What You'll Do

• Draft, review, and negotiate complex financial and commercial agreements, including clearing agreements, crypto and digital asset services agreements, and securities lending documentation.
• Structure novel partnership arrangements that support Alpaca’s API-first brokerage model.
• Develop scalable contracting frameworks, templates, and playbooks to support global expansion.
• Collaborate with cross-functional teams including Sales, Compliance, Operations, Finance, and InfoSec to ensure commercial arrangements align with regulatory and operational requirements.
• Challenge assumptions and design creative legal structures that scale financial services infrastructure.

Requirements

• Licensed attorney with 5-8+ years of experience in a financial services institution or a law firm supporting such clients.
• Strong history of commercial and transactional legal work in financial services.
• Experience reviewing and negotiating complex financial agreements.
• Familiarity with U.S. regulatory regimes applicable to securities, crypto, and/or derivatives.
• Excellent judgment, analytical rigor, and clear communication skills.
