Head of Equity & Executive Compensation - Remote Opportunity

About the Role

We're seeking a Head of Equity & Executive Compensation to join our team at Nebius. This remote opportunity allows you to lead the global strategy and governance of our equity and executive pay programs, ensuring alignment with long-term shareholder value and fostering a high-performance ownership culture.

What You'll Do

  • Design and evolve global equity vehicles such as RSUs, PSUs, and Stock Options, including vesting logic and performance periods.
  • Lead the design of CEO and Executive Leadership Team compensation packages, preparing materials for the Compensation Committee and Board.
  • Manage equity pool planning and utilization tracking to ensure effective resource allocation.
  • Establish global policy frameworks for equity eligibility, leaver treatment, and promotion guidelines.
  • Create communication materials to educate employees on the value of their equity.
  • Ensure compliance with governance and regulatory standards across international jurisdictions.
  • Lead a high-performing team and manage relationships with external equity administration partners.

Requirements

  • Significant experience in global equity and executive compensation in high-growth technology environments.
  • Deep technical knowledge of RSUs, PSUs, stock options, and LTI design.
  • Experience preparing materials for Board-level Compensation Committees.
  • Strong financial modeling skills related to dilution and equity pool management.
  • Proven leadership experience managing specialized technical teams.
  • Familiarity with major equity administration platforms like Computershare and Carta.

Nice to Have

  • Experience in AI or cloud computing sectors.
  • Advanced degree in finance or related field.
  • Knowledge of international compensation regulations.
